Article No. 1

Name, seat and duration

1 – The non-profit association adopts the name CAPULANA – Association of Cooperation and Development, and has its headquarters in Rua Cidade de Setubal, 6-6A, Zona Industrial de Frielas, Loures and is established for an indefinite period.

2 – The association has the number of legal person 510847560 and the identification number in the social security 25108475607.

Article No. 2

End

The association aims to design, implement and support humanitarian, social, cultural and economic programs and projects, including through humanitarian assistance, education and development cooperation in Portugal, Mozambique and other countries.

Article No. 3

Recipes

The association’s revenues are:

a) the initial jewel paid by the members;

b) the proceeds of the contributions fixed by the general meeting;

c) income from the assets of the association and income from social activities;

d) the freedoms accepted by the association;

e) the allowances allocated to it.

Article No. 4

Organs

1 – The association’s bodies are the general assembly, the management and the fiscal council.

2 – The term of office of the members of the social organs is of 4 year (s).

Article No. 5

General meeting

1 – The general assembly is constituted by all associates in the full enjoyment of their rights.

2 – The competence of the general meeting and the way in which it functions shall be those established in the Civil Code, in particular in Article 170, and in Articles 172 to 179.

3 – The general meeting table shall consist of three members, a chairman and two secretaries, who shall be responsible for leading the meetings of the assembly and drawing up the minutes thereof.

Direction

1 – The board of directors, elected at a general meeting, is composed of 3 members.

2 – The management is responsible for the social, administrative and financial management of the association, to represent the association in court and outside it.

3 – The form of its operation is established in Article 171 of the Civil Code.

4 – The association is obliged with the intervention of two signatures.

Article No. 7

supervisory board

1 – The fiscal council, elected at a general meeting, is composed of three members.

2 – The fiscal council is responsible for supervising the administrative and financial acts of the management, supervising its accounts and reports, and giving opinions on acts that imply an increase in expenses or a decrease in revenues.

3 – The form of its operation is established in Article 171 of the Civil Code.

Article No. 8

Admission and exclusion

The conditions for admission and exclusion of members, their categories, rights and obligations, shall be included in a regulation to be approved by the general meeting.

Article No. 9

Extinction. Destination of goods.

Extinction of the association, the destination of the assets that integrate the social patrimony, that are not affected for determined purpose and that have not been donated to him or left with some charge, will be object of the members’ deliberation.

Donations
